Terms of Service

These Terms of Service ("Terms") govern your access to and use of InventoryIQ (the "Service"), operated by InventoryIQ ("we", "us", or "our"). By creating an account, installing our Shopify app, or otherwise using the Service, you agree to be bound by these Terms.

1. The Service

InventoryIQ provides AI-driven inventory optimization, reorder recommendations, cashflow planning, and demand forecasting tools for e-commerce sellers, primarily through integrations with Shopify and similar platforms.

2. Accounts

You must create an account to use most features. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old and authorized to bind any business on whose behalf you use the Service.

3. Subscriptions, Trials, and Billing

• The Service is offered on monthly subscription tiers (Starter, Growth, Pro). Pricing is shown on the pricing page within the Service.
• New customers receive a free trial (currently extended to 30 days for merchants migrating from Stocky; the standard trial is 14 days). After the trial, your selected plan renews monthly until cancelled.
• Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until cancelled.
• You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.

4. Acceptable Use

You agree not to:

• Reverse engineer, scrape, or interfere with the Service;
• Use the Service to violate any law or third-party rights;
• Resell, sublicense, or share your account with others;
• Upload malicious code or attempt to gain unauthorized access.

5. Your Data

You retain ownership of all data you provide or that we receive from your connected stores ("Customer Data"). You grant us a limited license to process Customer Data solely to operate, secure, and improve the Service. We will not sell your Customer Data. Our handling of personal information is described in our Privacy Policy.

6. Forecasts and Recommendations

Recommendations, forecasts, and other outputs of the Service are estimates based on the data available to us and on AI/statistical models. They are provided for informational purposes only and do not constitute financial, investment, tax, or legal advice. You are solely responsible for purchasing, pricing, and operational decisions you make using the Service.

7. Third-Party Services

The Service integrates with third-party platforms such as Shopify, Stripe, and Clerk. Your use of those platforms is governed by their own terms. We are not responsible for outages, errors, or actions of third parties.

8. Intellectual Property

The Service, including all software, designs, and content (excluding Customer Data), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any forecast will be accurate.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service shall not exceed the amounts paid by you to us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

11. Termination

You may terminate your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law. Upon termination, your right to use the Service ends immediately.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which we are established, without regard to its conflict-of-law provisions. Any dispute shall be resolved in the courts of that jurisdiction.
